Public offer contract
General Provisions
1.1. This Agreement is an official offer by Sole Proprietor "Valeriia Rudenko" (hereinafter referred to as the “Seller”) to enter into a purchase agreement for goods by remote means, i.e., through the online store, hereinafter referred to as the “Agreement”, and constitutes a Public Offer published on the Seller’s official website: https://www.happyriod.com (hereinafter – the “Website”).
1.2. Full and unconditional acceptance (acceptance) of this offer by the Buyer to enter into the electronic purchase agreement shall be deemed the fact of payment for the order by the Buyer under the terms and at the prices specified on the Seller’s Website.
Terms and Definitions
2.1. In this offer, unless the context requires otherwise, the following terms shall have the following meanings:

“Goods” – products listed in the catalog on the Seller’s website, of specified models and sizes, which are classified as medical devices;

“Online Store” – as defined by the Law of Ukraine “On Electronic Commerce”, a tool for representing or selling goods, works, or services via electronic transactions;
-
“Buyer” – a natural person who enters into an Agreement with the Seller under the terms set forth herein;
-
“Order” – the selection of specific items from the product list, indicating the model and size, chosen by the Buyer when placing the order and making payment.
Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement. This Agreement governs the purchase of goods via the Online Store, including:

voluntary selection of goods by the Buyer in the Online Store;

independent order placement by the Buyer;
-
payment for the order placed in the Online Store;
-
processing and delivery of the order to the Buyer under the terms of this Agreement.
Order Placement Procedure
4.1. The Buyer has the right to place an order for any product available on the Website.
4.2. If a product is not in stock, a company representative must inform the Buyer (by phone or email).
Payment Methods
5.1. Payment for the goods can be made using the following methods:

Cash on pickup from the courier service office;

Cash on delivery by the courier service;
-
VISA / MasterCard payment on pickup;
-
Bank transfer;
-
Payment via website payment systems such as Apple Pay and others.
Delivery Terms
6.1. Delivery of goods purchased in the Online Store is carried out as follows:

Delivery to Nova Poshta branch – per carrier rates;
-
Courier delivery by Nova Poshta – per carrier rates;
-
International courier delivery by Nova Poshta – per carrier rates.
Documents required by Ukrainian law are provided together with the order.
Rights and Obligations of the Parties
7.1. The Seller has the right to:
-
unilaterally terminate service provision under this Agreement in case of breach by the Buyer.
7.2. The Buyer undertakes to:
-
pay for and collect the order in a timely manner under the terms of this Agreement.
7.3. The Buyer has the right to:
-
place an order via the Online Store;
-
demand that the Seller complies with the terms of this Agreement.
Liability of the Parties
8.1. The parties are liable for failure or improper performance of the Agreement under this Agreement and applicable laws of Ukraine.
8.2. The Seller is not liable for:
-
minor discrepancies in product color due to display differences across monitor models;
-
the accuracy and truthfulness of the information provided by the Buyer when placing an order;
-
delays and interruptions in service provision (order processing and delivery) due to factors beyond the Seller's control;
-
illegal actions committed by the Buyer using internet access;
-
the Buyer’s disclosure of their network identifiers (IP, MAC address, login, password) to third parties.
8.3. The Buyer is solely liable for any damage caused by their actions (including if committed by another person using the Buyer's login) to individuals, property, legal entities, the state, or societal morals.
8.4. The Parties are released from liability in cases of force majeure – extraordinary, unforeseeable events that objectively prevent the fulfillment of this Agreement and could not have been prevented by reasonable means.
8.5. The Parties shall make every effort to resolve disputes exclusively through negotiation.
Other Provisions
9.1. The Online Store reserves the right to amend this Agreement unilaterally, provided the changes are published on https://www.happyriod.com
9.2. The Online Store is intended for remote sales via the Internet.
9.3. The Buyer is responsible for the accuracy of information provided when placing the order. By accepting (placing and paying for the order), the Buyer gives unconditional consent to the collection, processing, storage, and use of their personal data under the Law of Ukraine "On Personal Data Protection".
9.4. Payment for the order confirms the Buyer’s full agreement with the terms of this public offer.
9.5. The effective date of the electronic agreement is the date of acceptance under Article 11 of the Law of Ukraine "On Electronic Commerce".
9.6. Using the Online Store to preview products and place orders is free for the Buyer.
9.7. Buyer’s information is confidential and used solely for order processing, communication, delivery, payment processing, etc.
Return Policy
10.1. The products listed on the site are classified as medical devices. All products are quality-checked before shipping and are sent in proper condition.
10.2. According to the Resolution of the Cabinet of Ministers of Ukraine No. 172 of 19.03.1994, certain categories of quality goods are not subject to return or exchange, including food products, medications, hygiene items, and medical devices.
Only defective goods may be returned. A receipt and a quality report issued by a certified laboratory of the State Service of Medicines and/or an authorized laboratory must be provided.
10.3. The Buyer’s incorrect selection of size or model does not qualify as a defect.
Term of the Agreement
11.1. The electronic agreement is considered concluded upon the acceptance of the offer in accordance with Article 11 of the Law of Ukraine “On Electronic Commerce”.
11.2. Prior to the expiration, the Agreement may be terminated by mutual consent before actual delivery by refunding the payment.
11.3. Either Party may terminate this Agreement unilaterally in case of breach by the other Party or as otherwise provided by Ukrainian law.
