Public Offer Agreement
General Provisions
1.1. This agreement is the official offer of the private entrepreneur “Rudenko Valeriia” hereinafter referred to as the “Seller,” to conclude a purchase and sale agreement for goods remotely, i.e., via an online store, hereinafter referred to as the “Agreement” and places the public offer (proposal) on the official website of the Seller: www.happyriod.com (hereinafter referred to as the “Website”).
1.2. The full and unconditional acceptance of the Seller’s proposal (acceptance) by the Buyer to conclude an electronic purchase and sale agreement is considered to be the payment made by the Buyer for an order under the terms of this Agreement, within the timeframes and at the prices specified on the Seller’s Website.
Terms and Definitions
2.1. In this offer, unless the context requires otherwise, the following terms have the following meanings:
• “Goods” – the product specified in the catalog on the Seller’s website, of defined models and sizes, classified as a medical product.
• “Online Store” – as defined by the Law of Ukraine “On Electronic Commerce,” a means for presenting or selling goods, works, or services by conducting an electronic transaction.
• “Seller” – the company that sells goods presented on the Website.
• “Buyer” – a natural person who has entered into an Agreement with the Seller under the terms outlined below.
• “Order” – the selection of individual items from the goods list, specifying the model and size, chosen by the Buyer when placing an order and making payment.
Subject of the Agreement
3.1. The Seller undertakes to transfer ownership of the Goods to the Buyer, and the Buyer undertakes to pay for and accept the Goods under the terms of this Agreement.
This Agreement governs the purchase and sale of goods in the Online Store, including:
• Voluntary selection of goods by the Buyer in the Online Store;
• Independent placement of an order by the Buyer in the Online Store;
• Payment by the Buyer for the order placed in the Online Store;
• Processing and delivery of the order to the Buyer under the terms of this Agreement.
Order Placement Procedure
4.1. The Buyer has the right to place an order for any product presented on the Website and available in stock.
4.2. If the product is out of stock, the company manager must notify the Buyer (via phone or email).
Payment Methods
Payment for the goods may be made using the following methods:
5.1. Non-cash payment.
5.2. Payment using online payment systems available on the Website, such as Apple Pay and others.
Delivery Terms
Delivery of goods purchased in the Online Store is carried out as follows:
6.1. Delivery to “Nova Poshta” branch offices – according to the carrier’s rates.
6.2. Delivery by “Nova Poshta” courier – according to the carrier’s rates.
6.3. International courier delivery by “Nova Poshta” – according to the carrier’s rates.
The Buyer receives documents accompanying the order in accordance with Ukrainian law.
Rights and Obligations of the Parties
7.1. The Seller has the right to:
• Unilaterally terminate the provision of services under this agreement if the Buyer violates the terms of this agreement.
7.2. The Buyer is obliged to:
• Timely pay for and accept the order under the terms of this Agreement.
7.3. The Buyer has the right to:
• Place an order in the Online Store;
• Require the Seller to fulfill the terms of this Agreement.
Liability of the Parties
8.1. The parties are responsible for non-performance or improper performance of the terms of this Agreement in the manner provided by this Agreement and current Ukrainian legislation.
8.2. The Seller is not responsible for:
• Slight discrepancies in the color scheme of the product, which may differ from the original due to different color rendering of monitors;
• The content and accuracy of information provided by the Buyer during order placement;
• Delays and interruptions in service provision (order processing and delivery) due to circumstances beyond the Seller’s control;
• Illegal actions performed by the Buyer using access to the Internet;
• The transfer of the Buyer’s network identifiers (IP, MAC addresses, login, and password) to third parties.
8.3. The Buyer, using the access provided to the Internet, is independently responsible for any harm caused by their actions to individuals or property, legal entities, the state, or moral principles.
8.4. In the event of force majeure, the parties are released from fulfilling the terms of this Agreement. Force majeure refers to extraordinary, unforeseen circumstances that objectively prevent the fulfillment of this Agreement and could not have been foreseen or avoided by reasonable measures.
8.5. The parties will make every effort to resolve any disputes exclusively through negotiations.
Other Conditions
9.1. The Online Store reserves the right to unilaterally amend this Agreement, provided it is published on the Website beforehand.
9.2. The Online Store is created to organize the remote sale of goods via the Internet.
9.3. The Buyer is responsible for the accuracy of the information provided when placing the order. By accepting (placing an order and subsequently paying for the goods), the Buyer gives the Seller their unconditional consent to collect, process, store, and use their personal data as understood under the Law of Ukraine “On Personal Data Protection.”
9.4. Payment by the Buyer for an order placed in the Online Store signifies full agreement with the terms of this public offer agreement.
9.5. The effective date of the electronic agreement between the parties is the date of acceptance of the terms, in accordance with Article 11 of the Law of Ukraine “On Electronic Commerce.”
9.6. Using the Online Store’s resources to preview goods and place an order is free of charge for the Buyer.
9.7. Information provided by the Buyer is confidential. The Online Store uses the Buyer’s information solely for order processing, notifications, delivery, payment settlements, and other related purposes.
Return Policy
10.1. The goods listed on the Website are classified as medical products. All items are inspected for quality before shipment, ensuring that the dispatched goods are of high quality.
10.2. According to the Resolution of the Cabinet of Ministers of Ukraine No. 172 dated March 19, 1994, personal hygiene items (including menstrual underwear, cups, pads, panties, and intimate cosmetics) of proper quality are not subject to return or exchange.
10.3. Incorrect selection of model or size by the Buyer during order placement is not grounds for deeming the goods as of inadequate quality.
Term of the Agreement
11.1. The electronic agreement is considered concluded from the moment the party that sent the proposal receives a response accepting the proposal in the manner specified in Article 11 of the Law of Ukraine “On Electronic Commerce.”
11.2. Before the expiration of this Agreement, it may be terminated by mutual agreement of the parties before the actual delivery of the goods, by refunding the payment.
11.3. The parties have the right to unilaterally terminate this Agreement in the event of non-compliance by one of the parties with the terms of this Agreement or in cases provided for by current Ukrainian legislation.
